For the purposes of this Agreement, the following definitions apply, and any undefined terms have the meaning ascribed to them in the context in which they are used in this Agreement:

A.EXCEPTIONS AND LIMITATIONS:

Notwithstanding the foregoing and in compliance with applicable laws, Digi Creators (i) cooperates fully with provincial, local, and federal officials in any investigation relating to any content (including personal or private electronic communications transmitted to Digi Creators) or purported unlawful activities of any user of the Service, and (ii) takes reasonable measures to protect its proprietary rights. For the limited purposes of accomplishing such cooperation and measures and in compliance with applicable laws, Digi Creators may be required to disclose personally identifiable information. In addition, Digi Creators may elect to monitor the areas of communication of any kind (i) to satisfy any law, regulation, or government request; (ii) if such disclosure is necessary or appropriate to operate Digi Creators; or (iii) to protect the rights or property of Digi Creators or others. In connection with the potential sale or transfer of any of its interest in Digi Creators and other sites owned by the company, Digi Creators reserves the right to sell or transfer your information (including, but not limited to name, address information, and other information you provided to Digi Creators) to a third party that (i) concentrates its business in communication products or services; (ii) agrees to be Digi Creator’s successor in interest with regard to the maintenance and protection of information collected and maintained by Digi Creators; and (iii) agrees to the obligations of this policy statement.

B. PERSONALLY IDENTIFIABLE INFORMATION:

Digi Creators typically receives specific data about its website visitors only when such information is provided voluntarily, such as when our visitors request information, purchase or enroll for services, open a customer support inquiry ticket, provide resume information for employment opportunities, or send us an e-mail. Of course, some of these activities require that you give us information, such as when you make a purchase, use a credit card to pay for services, submit your resume, or request certain types of information.

When you provide personally identifiable information to Digi Creators through one of our websites, it will be used to fulfill your specific request. Digi Creators will not, however, sell or trade your personally identifiable information unless we are authorized or legally required to do so, or in the case of imminent physical harm to the visitor or others. On those Digi Creators sites where you may provide Digi Creators with a credit card or other ordering information via the web, Digi Creators protects and secures this information by employing commercially customary web-based security and encryption protocols, examples of which include Secure Socket Layer (SSL) and Secure Electronic Transaction (SET). On those sites where you voluntarily offer any feedback, data, answers, questions, comments, suggestions, ideas or the like, Digi Creators will treat that portion of the information as non-confidential and non-proprietary and, except as otherwise expressed in this privacy statement, Media Temple assumes no obligation to protect such information from disclosure.

C. NON-PERSONALLY IDENTIFIABLE (GENERIC) INFORMATION: In general, Digi Creators gathers some generic information automatically. Generic information does not reveal the identity of the visitor. It usually includes information about the Internet address assigned to your computer, the number and frequency of visitors, and the Digi Creators sites visited. Digi Creators gathers this information for the limited purpose of determining customer service and website needs. We accomplish this by using certain technologies, including “cookies” (a technology that can be used to provide the visitor with tailored information about Digi Creators services). Digi Creators does not combine information collected in this way with any personally identifiable information. YOUR Digi Creators HOSTED WEBSITE, SERVER, BULLETIN BOARDS, FORUM, THIRD-PARTY SITES: Information that you disclose in a public space, including on any blog, bulletin board, chat room, or website Digi Creators may host for you as part of your Digi Creators services, is available to anyone else who visits that space. Digi Creators cannot safeguard any information you disclose in these locations. Additionally, Digi Creator's websites contain links to sites that belong to third parties unrelated to Digi Creators. Digi Creators cannot protect any information you may disclose on these sites and recommends that you review the privacy policy statements of those sites you visit.

For Coaching & Consulting service Agreements ,After the initial Agreement duration, is over . Your contract will be on a month-to-month basis with the new effective price of the program at that time. all cancellations must have a 30-day notice emailed [email protected]. Any cancellations that fall within 30 days of the next billing cycle will be billed at the full monthly rate stated in this contract. This amount is not refundable

F-Client Understands/Disclaimer:

In any shape or form, Digi Creators is not responsible or guarantees you the Deals you will close, once Digi Creators hands you, qualified Buyers /Sellers, it all depends on your Skills to Sell, Build Relationships, Knowledge & Experience about your Local Real Estate Market. The client understands that These Cold Prospects are different than your warm circle of reference and may take 90 + days to Close deal

The client agrees that all assets created by DiGi Creators are all approved to use by the Client. Digi Creators will not be responsible for any copyright infringements or any monetary compensation to the Client for any claims that arise from assets given, used or approved by the Client. This may include video, images, photos, fonts, music or any other assets used for the campaign.

G-SEARCH ENGINE / SOCIAL MEDIA POLICIES

The client acknowledges that Digi Creators has no control over any changes that may occur with the policies or algorithms of any social media platform that is used in connection with the services provided. The client recognizes that at any time the client’s ads may be excluded or removed at the sole discretion of the publishing platform and may be out of the control of Digi Creators which may cause some delays in the delivery of work promised.

H-Credit Card Authorization:

While Purchasing Marketing Program ,the Agreement is between Digi Creators and you, and your signature on page 1 expressly confirms (i) authorizes Digi Creators to auto-charge your credit card( on the dates mentioned above) and you have read and agree to be bound by the Terms & Payment.

I-Support & Communication

Regardless of the Program first month, you will work very closely with your project manager (3-4 Calls as mentioned above)Depending on the program you are in there are different levels of support

Guaranteed Closing Program: Biweekly calls with dedicated Project Manager & Monthly implementation call

Guaranteed Appointments: Biweekly calls with Project Manager

J-Cancellation by Digi Creators:

If the Client fails to fulfill his responsibilities as mentioned in his Agreement, Digi Creators has the right to cancel the Agreement by providing the 7-day Email notice with the explanation of our decision.

The automatic payment will be stopped for the following months. Digi Creators has the right to cancel the Agreement by refunding the payment of that month deducting 50% of the Monthly Fee for Time Spent & Expenses already incurred for that month by Digi Creators Team

K-PLACE OF LAW:

Regardless of the place of venue, this contract was entered into in Ontario, CA and any dispute will be litigated or arbitrated in Ontario, CA.

L-Severability Clause.

If any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.

M-Waiver clause:

The waiver by either Party of a breach, default, delay or omission of any of the provisions of this Agreement by the other Party will not be construed as a waiver of any subsequent breach of the same or other provisions.

N-Modification in Agreement:

A clause preventing the modification of the agreement unless agreed upon by both parties and in writing.

O-Interest on late payments:

For any Declined payment 10% of your Monthly Fee will be charged as a penalty unless notified.

P-Confidentiality:

Clients Account, Notes, leads all deliverables, processes will be confidential, also client agrees not to share the special price offered exclusively to him for the kind of work involved to outside parties

Q-Intellectual Property:

Our Propriety system is for our client's use while they are under contract, once the contract period is over, Digi Creators has the right to use data, whichever way it prefers. Clients rents our system & Digi Creators owns it. This is the Client’s responsibility to inform Digi Creators on his offboarding call for all the leads he is actively working on (any other relevant information) so Digi creators may avoid any inconsistent actions to the data.

R-OTHER LEGAL Clauses:

Client agrees to defend, indemnify, and hold harmless Digi Creators, its parent companies, subsidiaries, assigns, affiliates, and each of their officers, directors, employees, and agents from any suits, claims, demands, damages, liabilities, costs, and expenses, including, without limitation, reasonable outside attorneys’ fees, arising out of, or in conjunction with (i) the breach or alleged breach by Client of any warranty or representation made by it in this Agreement; or (ii) Client’s negligent, reckless, or willful misconduct in connection with this Agreement or related SOW(s).
